Seller Agreement
This Seller Agreement defines the terms under which creators and authors distribute digital assets through the ToNextStep marketplace.
1. Overview & Seller Role
ToNextStep operates a curated digital marketplace platform connecting digital creators with buyers. As a seller on ToNextStep, you grant the platform a non-exclusive license to host, display, promote, and distribute your digital assets.
2. Asset Ownership & IP Warranties
Sellers retain full intellectual property ownership of their submitted digital assets. By listing an asset on ToNextStep, you represent and warrant that: • You are the original creator or possess all necessary rights and licenses to commercialize the asset. • The asset does not infringe upon any third-party copyright, trademark, privacy, or intellectual property rights. • The asset is free from viruses, malicious code, or unauthorized third-party trackers.
3. Pricing, Commission & Payouts
Prices for digital products are established in agreement with ToNextStep. Revenue splits and platform commission rates are specified in your seller onboarding agreement. Payouts are calculated monthly and remitted via official payout channels, subject to minimum payout thresholds and tax withholdings where required.
4. Quality Standards & Support Obligations
Sellers are expected to maintain high quality standards for listed digital items, including clear documentation and prompt resolution of technical defects reported by buyers. ToNextStep reserves the right to unlist items that fail to meet quality criteria.
5. Refunds & Customer Chargebacks
In the event of a valid refund or chargeback under our Refund Policy, the corresponding net revenue for the refunded transaction will be adjusted in the subsequent seller payout cycle.
6. Agreement Termination
Either party may terminate this agreement with written notice. Upon termination, active asset listings will be removed from the public marketplace. Existing buyers will retain access to re-download previously purchased assets in accordance with their license rights.
